TERMS OF PURCHASE AND PARTICIPATION

These Terms of Purchase and Participation (“Terms”) govern your purchase of and participation in Project Thrive, a live, time-bound personal-development experience provided by Tami Berry MD, LLC (“Company,” “we,” “us,” or “our”).

By purchasing Project Thrive, accessing its content, or participating in its private online spaces, you acknowledge that you have read, understood, and agreed to these Terms.

1. The Project Thrive Experience

Project Thrive is a live 21-day educational and personal-development experience designed to support greater joy, aliveness, self-awareness, intentional living, and conscious creation.

The experience may include:

  • Daily audio teachings

  • Reflections, practices, or experiments

  • Email communications

  • Access to an online audio library

  • Access to a private Telegram channel

  • Optional participation in a private Telegram community

  • Invitations to future programs or services

Project Thrive is not an academic course, certification program, professional credential, medical service, or mental-health treatment program.

2. Eligibility

You must be at least 18 years old and legally able to enter into a binding agreement to purchase or participate in Project Thrive.

By purchasing, you represent that the information you provide is accurate and that you are purchasing for your own personal use.

3. Investment and Payment

The investment for the applicable Project Thrive experience will be clearly stated on the sales and checkout pages.

For the August 2026 experience, the investment is:

$27 as a one-time payment.

Project Thrive is not a subscription and does not automatically renew.

Payment is processed through third-party payment providers. You agree to provide current, complete, and accurate billing information and authorize the applicable payment processor to charge the payment method you provide.

4. Refund Policy

Because Project Thrive is a low-cost digital experience that provides immediate access to proprietary materials and private participant spaces, all purchases are final and nonrefundable.

Failure to participate, listen to the audios, open emails, join Telegram, or use the available materials does not create a right to a refund.

If the Company cancels the entire Project Thrive experience and does not provide a substantially similar replacement experience, participants will receive an appropriate refund.

5. Program Dates and Access

Project Thrive is intentionally designed as a live, time-bound experience.

Access does not continue indefinitely.

At the conclusion of the access period, the Company may:

  • Remove participant access to the online course

  • Remove participants from the Telegram channel or community

  • Close, archive, or delete the private Telegram spaces

  • Revoke participant invitation links

  • Discontinue access to any related materials

Each future Project Thrive round is a separate experience and may require a separate purchase.

6. Participation and Personal Responsibility

Your participation is voluntary.

You are responsible for determining whether Project Thrive is appropriate for you and for deciding how to use any information, reflection, or practice presented.

You agree to exercise personal judgment and take responsibility for your own:

  • Decisions

  • Actions

  • Emotional responses

  • Relationships

  • Health and wellbeing

  • Business or financial choices

  • Personal-development process

You may choose not to complete any exercise or practice that does not feel appropriate for you.

7. Educational Purposes Only

Project Thrive is provided for general educational and personal-development purposes only.

Nothing provided through Project Thrive constitutes or should be interpreted as:

  • Medical advice

  • Mental-health treatment

  • Psychotherapy

  • Diagnosis

  • Crisis intervention

  • Professional healthcare

  • Legal advice

  • Financial advice

  • Business advice

  • A substitute for care from a licensed professional

Although Dr. Tami Berry is a physician, she is not acting as your physician through Project Thrive, and participation does not establish a physician-patient relationship or any other clinical relationship.

You should consult an appropriately qualified professional regarding any medical, psychological, legal, financial, or other professional concern.

If you are experiencing a medical or mental-health emergency, contact emergency services or an appropriate crisis resource in your location.

8. No Guarantees

The Company does not guarantee any specific personal, emotional, relational, professional, financial, health, or business outcome.

Testimonials and participant experiences represent individual experiences. They are not promises that you will experience the same results.

Your experience will depend on numerous factors, including your circumstances, choices, participation, readiness, and implementation.

Project Thrive is an invitation and educational experience—not a guarantee of transformation or a particular result.

9. Private Community Participation

Participation in The Thrive Lounge or any other community space is optional.

When participating, you agree to communicate respectfully and refrain from:

  • Harassment, bullying, discrimination, or intimidation

  • Hate speech or threatening behavior

  • Solicitation or unauthorized promotion

  • Sharing another participant’s personal information

  • Recording or distributing private discussions

  • Presenting yourself as a representative of the Company

  • Providing medical, therapeutic, legal, or financial directives to other participants

  • Posting unlawful, defamatory, obscene, or harmful material

  • Disrupting the experience or interfering with the participation of others

The Company may moderate, remove, or restrict content or participation at its discretion.

10. Community Privacy and Confidentiality

We ask all participants to respect the privacy of others.

You agree not to copy, photograph, record, screenshot, publish, distribute, or share another participant’s name, image, comments, story, personal information, or participation without that person’s express permission.

However, the Company cannot guarantee that every participant will maintain confidentiality.

You should not share information in Telegram or any community space that you would not want another participant to see or retain.

Do not post sensitive medical information, financial account information, passwords, government identification numbers, or other highly sensitive personal data.

11. Third-Party Platforms

Project Thrive uses third-party platforms that may include Kajabi, Stripe, Telegram, Kit, email service providers, and other technology vendors.

Your use of those platforms may also be governed by their own terms and privacy policies.

The Company does not control and is not responsible for:

  • Third-party outages

  • Platform changes

  • Data practices of third-party providers

  • Device compatibility

  • Internet connectivity

  • Telegram account restrictions

  • Delays caused by email filtering or spam systems

  • A participant’s inability to access a platform because of their own settings or equipment

Where reasonably possible, the Company may provide an alternative means of accessing core materials if a significant technical disruption occurs.

12. Intellectual Property

All Project Thrive content is owned by or licensed to Tami Berry MD, LLC and is protected by copyright, trademark, and other intellectual-property laws.

This includes, without limitation:

  • Audio recordings

  • Written teachings

  • Exercises

  • Practices

  • Prompts

  • Emails

  • Graphics

  • Videos

  • Course materials

  • Program names

  • Frameworks

  • Community posts created by the Company

Your purchase grants you a limited, personal, nonexclusive, nontransferable, revocable license to access the materials during the stated access period.

You may not:

  • Copy or reproduce the materials

  • Record or download content unless expressly permitted

  • Share login credentials

  • Distribute materials to another person

  • Upload materials to another platform

  • Sell, sublicense, teach, or repurpose the content

  • Use the materials to create a competing product or service

  • Use the content for commercial training, coaching, or consulting

  • Remove copyright, trademark, or ownership notices

No ownership rights are transferred to you.

13. Account Security

You are responsible for maintaining the security of your course login, email account, Telegram account, and devices.

You may not allow another person to use your enrollment or credentials.

Notify us promptly if you believe your account has been accessed without authorization.

14. Removal or Termination

The Company may suspend or terminate your participation without refund if you:

  • Violate these Terms

  • Share protected content

  • Harass or threaten another person

  • Disrupt the community

  • Engage in fraudulent activity

  • Misuse Company platforms

  • Create a safety or legal concern

  • Fail to make required payment

Where appropriate, the Company may provide notice or an opportunity to correct the behavior, but it is not required to do so in circumstances involving serious misconduct, safety, confidentiality, intellectual property, or legal risk.

15. Changes to the Experience

Because Project Thrive is delivered live, the Company may make reasonable changes to:

  • Daily topics

  • Delivery times

  • Supporting practices

  • Platform structure

  • Community features

  • Guest participation

  • Scheduling

  • Technology providers

Any changes will preserve the overall nature of the purchased experience.

16. Limitation of Liability

To the fullest extent permitted by law, Tami Berry MD, LLC and its owners, employees, contractors, affiliates, and representatives will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising from or related to your purchase, participation, use of the materials, or reliance on information provided through Project Thrive.

To the fullest extent permitted by law, the Company’s total liability for any claim relating to Project Thrive will not exceed the amount you paid for the specific Project Thrive experience giving rise to the claim.

Nothing in these Terms excludes liability that cannot lawfully be excluded or limited.

17. Indemnification

To the extent permitted by law, you agree to indemnify and hold harmless Tami Berry MD, LLC and its owners, employees, contractors, affiliates, and representatives from claims, losses, liabilities, or expenses arising from:

  • Your misuse of the program

  • Your violation of these Terms

  • Your infringement of another person’s rights

  • Content you submit or share

  • Your unlawful or harmful conduct

18. Governing Law and Venue

These Terms are governed by the laws of the Commonwealth of Pennsylvania, without regard to conflict-of-law principles.

Any legal proceeding arising from these Terms or Project Thrive will be brought in a court of competent jurisdiction located in Pennsylvania, unless applicable consumer law requires otherwise.

19. Severability

If any portion of these Terms is found unenforceable, the remaining provisions will remain in effect.

20. Entire Agreement

These Terms, together with the applicable checkout disclosures and Privacy Policy, constitute the entire agreement regarding your purchase and participation in Project Thrive.

21. Changes to These Terms

We may update these Terms periodically.

The version in effect when you purchase will govern that purchase unless a change is required by law or is necessary to protect participants, Company property, or program integrity.
